Terms of Service

These Terms of Service govern access to and use of the NexoPad website, admin dashboard, browser extension, and related services.
1. Acceptance of the terms
By accessing, installing, registering for, or using NexoPad, you agree to these Terms of Service and our Privacy Policy. If you do not agree, you must not use our services.
These Terms form a binding agreement between you and NexoPad. If you use the Service on behalf of a company, organization, or third party, you represent that you have authority to bind that entity to these Terms.
2. Who may use NexoPad
To use NexoPad, you must meet the following requirements:
- You must be at least 16 years old. If you are under 16, you may not create an account or use the Service.
- You must have legal capacity to accept these Terms in your jurisdiction.
- You must not have been previously suspended or removed from the Service.
If you use NexoPad on behalf of a company or organization, you represent that you have sufficient authority to bind that entity and that it accepts these Terms.
3. Description of the service
NexoPad is a productivity tool that may include a website (nexopad.app), an admin dashboard (dashboard.nexopad.app), a browser extension, and related services.
The Service allows users to create, store, organize, sync, and manage content, including:
- notes and reusable snippets;
- text shortcuts with macros and automatic insertion;
- links and quick references;
- captured CSS selectors for automation;
- shared company vaults in TEAMS plans;
- settings, preferences, and user statistics.
4. Account and access
Some features require an account. You agree to provide accurate, current, and complete information.
You are responsible for:
- keeping your access credentials confidential;
- all activity performed through your account;
- promptly notifying us of any unauthorized access at support(at)nexopad.app;
- using the service lawfully and in compliance with these Terms.
NexoPad will not be responsible for losses resulting from unauthorized use of your account if you fail to notify us promptly.
5. User content
"User Content" means any information, text, note, snippet, link, CSS selector, setting, data, or material that a user uploads, creates, stores, syncs, or manages through NexoPad.
The user retains ownership and all intellectual property rights over their User Content.
However, by using NexoPad, the user grants NexoPad a limited, non-exclusive, revocable, non-sublicensable license necessary to host, store, copy, process, transmit, sync, back up, and display that content only to the extent required to operate, maintain, and improve the Service. This license ends when the user deletes the content or the account.
6. Storage of content and technology providers
The user acknowledges that content may be hosted on servers operated by the following technology providers engaged by NexoPad:
- Supabase, Inc. on Amazon Web Services (AWS): database, authentication, and storage.
- Vercel, Inc.: website and admin dashboard hosting.
- Lemon Squeezy: payment processing and subscription management.
Part of the technical infrastructure is located outside Colombia, including servers in the United States. By using NexoPad, the user expressly authorizes international data transfers as described in our Privacy Policy.
7. User responsibility for content
The user is solely responsible for the User Content they upload, store, or sync through NexoPad.
The user represents and warrants that:
- they have the necessary rights to that content;
- their content does not infringe intellectual property, privacy, or other third-party rights;
- their content does not violate applicable law;
- it does not include unlawful, malicious, fraudulent, defamatory, or unauthorized material;
- it does not contain viruses, malware, spyware, or harmful code intended to affect the service or third parties.
8. Prohibited uses
You may not use NexoPad to:
- store, transmit, or manage illegal, infringing, deceptive, or fraudulent content;
- violate copyrights, trademarks, patents, or trade secrets of third parties;
- attempt unauthorized access to NexoPad or third-party systems or infrastructure;
- introduce malware, malicious scripts, or tools intended to compromise security;
- reverse engineer, decompile, or disassemble the Service unless mandatory law expressly permits it;
- use bots, abusive automation, or scraping techniques that affect the functioning of the Service;
- store extremely sensitive data or third-party data without sufficient legal basis;
- share, redistribute, or sublicense your access to the Service without authorization;
- interfere with the integrity, stability, or availability of the Service;
- use the Service for activities that violate the laws of your jurisdiction or Colombian law.
9. Sensitive data and restricted content
NexoPad is not designed to store master credentials, highly sensitive financial information, special categories of personal data, minors' information, or data subject to special regulations such as HIPAA or PCI-DSS without prior written agreement.
If you decide to store that type of content, you do so at your sole responsibility.
10. Third-party sites and services
NexoPad may allow users to store or open links to third-party sites, platforms, or services. NexoPad does not control or guarantee the availability, content, security, or policies of those external services.
Use of third-party services is the sole responsibility of the user and remains subject to the terms and policies of those third parties.
11. Intellectual property of NexoPad
All rights in NexoPad, including software, source code, design, interface, trademarks, logos, documentation, visual elements, algorithms, and service components, belong to NexoPad or its licensors and are protected by applicable intellectual property laws.
These Terms do not grant the user any ownership rights in NexoPad or its technology, except for the limited, personal, non-exclusive, non-transferable, and revocable right to use the Service in accordance with these Terms.
12. Paid plans, pricing, and refunds
NexoPad offers a free plan and paid plans with additional features. By purchasing a paid plan:
- you agree to pay the fees disclosed at the time of purchase, processed through Lemon Squeezy;
- subscriptions automatically renew at the end of each billing cycle until you cancel them;
- NexoPad may change fees with 30 days notice; changes will not affect the current billing period;
- applicable taxes may be added according to the laws of your country of residence.
Cancellations:
- you may cancel your subscription at any time from your control panel or by contacting support(at)nexopad.app;
- the cancellation becomes effective at the end of the current billing period;
- after cancellation, your account will revert to the free plan and its corresponding limits.
Refunds:
- we do not provide prorated refunds for partially used periods unless required by applicable law;
- if you experience a serious technical problem that prevents use of the Service and we cannot resolve it within a reasonable time, we may offer a full or partial refund at our discretion;
- users in the EU/EEA who purchase a paid plan may have a 14-day withdrawal right if they have not actively used the paid features during that period;
- Merchant of Record (MoR): our payment processing is handled by Lemon Squeezy, so invoices and bank charges may appear under Lemon Squeezy's name.
13. Specific terms for TEAMS plans
TEAMS plans are designed for teams and companies. In addition to the general conditions, the following specific clauses apply:
- Team administrator: the user who contracts the TEAMS plan acts as owner and is responsible for managing members, roles, and shared content inside the team.
- Seats: pricing is calculated per user and billing period. Maximum member counts depend on the contracted sub-plan.
- Company content: content created in the team vault belongs to the organization that contracted the plan, not to the individual employee.
- Remote revocation: the Owner or Admin may remove members at any time, and access to company data will be removed from the affected member's device on the next periodic verification.
- DPA available: companies that need one may request a Data Processing Agreement by writing to support(at)nexopad.app.
14. Changes to the service
NexoPad may modify, update, limit, suspend, or discontinue any feature of the Service, in whole or in part, at any time for technical, security, commercial, or legal reasons.
If the Service is fully discontinued, NexoPad will use commercially reasonable efforts to notify users at least 30 days in advance and facilitate export of their data.
15. Suspension or termination
We may suspend or terminate a user's access to NexoPad if we reasonably believe that:
- these Terms or the Privacy Policy have been breached;
- there is fraudulent or abusive use that puts other users at risk;
- it is necessary for legal or security reasons or due to an order from a competent authority;
- continuation of the Service so requires.
In the event of suspension or termination, we will make reasonable efforts to provide prior notice when possible and will allow you to export your personal content within a reasonable time.
Users may also stop using NexoPad and delete their account at any time from the control panel or by contacting support(at)nexopad.app.
16. Privacy and data processing
Personal data processing is governed by our Privacy Policy, which forms an integral and complementary part of these Terms.
By using the Service, the user acknowledges and agrees that certain personal information and user content may be stored and processed in infrastructure located outside Colombia, as described in the Privacy Policy.
17. Availability, backup, and data loss
NexoPad seeks to keep the Service available and to implement reasonable continuity and backup measures. However, it does not guarantee uninterrupted availability or total absence of errors.
The user understands that no system is completely infallible and that it is highly recommended to keep separate backups of especially important information. NexoPad facilitates data export from the control panel for that purpose.
18. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXOPAD IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
Among other things, we do not guarantee that:
- the Service will be uninterrupted, timely, secure, or error-free;
- all defects will be corrected immediately;
- the Service will be compatible with any browser, device, operating system, or third-party integration;
- stored content will always remain available, intact, or free from loss;
- the Service will satisfy industry-specific regulatory requirements without prior agreement.
These exclusions do not affect any mandatory consumer rights granted by the laws of your jurisdiction that cannot be contractually excluded.
19. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXOPAD SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOSS OF DATA, REVENUE, BUSINESS, EXPECTED SAVINGS, REPUTATION, OR OPPORTUNITIES ARISING OUT OF USE OF OR INABILITY TO USE THE SERVICE.
If applicable law allows liability limitations, NexoPad's total aggregate liability to the user for any cause shall not exceed the greater of: (a) the total amount actually paid by the user to NexoPad during the twelve months preceding the event giving rise to the claim, or (b) USD 50.
These limitations do not exclude liability for fraud, gross negligence, or any other liability that mandatory law in your jurisdiction does not allow to be excluded or limited.
20. Indemnification
The user agrees to defend, indemnify, and hold harmless NexoPad, its representatives, contributors, and contractors from claims, damages, losses, liabilities, costs, and expenses arising from:
- their use of the Service;
- their User Content;
- their breach of these Terms;
- their infringement of third-party rights;
- their use of the Service in violation of applicable law.
21. Fair Use Policy
Even when NexoPad offers plans described as "unlimited," use must remain reasonable and consistent with normal human or standard business activity.
We reserve the right to contact, limit, or suspend accounts that use automated scripts, bots, or techniques that create unreasonable load on our servers, API, or infrastructure, or that demonstrate abusive or unintended use.
22. Feedback
If you voluntarily provide ideas, comments, bug reports, or suggestions to improve NexoPad, you grant us a perpetual, irrevocable, non-exclusive, worldwide, royalty-free right to use, modify, and implement those ideas in our products and services without compensation, attribution, or notice.
23. Force majeure
NexoPad will not be liable for failure or delay in performing its obligations due to events beyond its reasonable control, including natural disasters, armed conflicts, pandemics, Internet infrastructure failures, large-scale cyberattacks, acts of governments or authorities, or failures of essential service providers.
24. Changes to these terms
NexoPad may update these Terms of Service at any time. The current version will be posted on this page together with its update date.
In the event of material changes, we will notify registered users by email at least 15 days in advance. Continued use of the Service after that period constitutes acceptance of the updated version to the extent permitted by law.
25. Governing law and jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Colombia.
Any dispute relating to these Terms or to the Service shall be submitted to the competent courts of Bogotá D.C., Colombia, unless mandatory consumer protection law in your jurisdiction provides otherwise.
For users in the European Union, nothing in these Terms affects any mandatory consumer protection rights granted by the laws of the Member State of habitual residence.
26. General provisions
If any provision of these Terms is held invalid, illegal, or unenforceable by a competent court, the remaining provisions will remain in full force and effect.
Failure by NexoPad to exercise any right or remedy shall not constitute a waiver of that right or remedy.
These Terms, together with the Privacy Policy, constitute the entire agreement between the user and NexoPad regarding use of the Service and supersede any prior agreement on the same subject matter.
The user may not assign or transfer these Terms or any rights or obligations under them without NexoPad's prior written consent. NexoPad may freely assign them in cases of reorganization, merger, acquisition, sale of assets, or operation of law.
